3. Scope of Users and Subscribers – exclusively for professional football stakeholders

3.1. The Service is available exclusively to professional stakeholders of the football world for business purposes. Only an organisation falling within one of the following categories may be a User/Subscriber:

a) club: a football club, sports association, sports enterprise or other organisation operating a football team;

b) federation: a national, regional or international football federation, league or competition-organising body;

c) academy: a football academy, youth development institution or organisation;

d) agency: an organisation engaged in player agency, intermediary or sports management activities;

e) media: a sports media service provider engaged in sports analysis, a publisher of press products, or a media enterprise professionally producing sports content or sports data content.

3.2. The Service is not available to consumers. The Agreement qualifies exclusively as a contract between businesses acting within the scope of their business activities; a consumer within the meaning of Section 8:1(1)(3) of the Civil Code may not register on the Website or purchase a Subscription. Given that only a business acting within the scope of its business activities under Section 3.1 may register – regardless of whether it qualifies as a micro, small or medium-sized enterprise – the provisions of Section 6:157(3) of the Civil Code shall not apply. Accordingly, consumer protection laws – in particular the right of withdrawal under Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses – shall not apply to the Agreement.

3.3. During registration, the Administrator expressly declares that (i) the User/Subscriber falls within one of the categories listed in Section 3.1, (ii) the User/Subscriber uses the Service within the scope of its professional, business activities, (iii) he/she is entitled to act on behalf of the User/Subscriber, to conclude the Agreement and to undertake obligations binding on the User/Subscriber, and (iv) the data provided are true and accurate.

3.4. The Service Provider is entitled to verify the eligibility of the User/Subscriber during registration or at any time thereafter, and to request evidence for this purpose (in particular a company register extract, an association/federation registration certificate, agent/intermediary registration, registration as a media service provider, or verification of the organisation's official e-mail domain). The Service Provider is entitled to reject the registration or the order without giving reasons, or to terminate an existing agreement with immediate effect, if eligibility is not proven or is doubtful.

3.5. If the Service Provider establishes after the conclusion of the Agreement that the User/Subscriber does not fall within the scope defined in Section 3.1, the Service Provider is entitled to terminate the Agreement with immediate effect in accordance with Section 18.4. In the event of a false declaration, any Fee already paid shall not be refunded; if the Subscriber acted in good faith, the Service Provider shall refund pro rata the Fee paid in advance for the unused period and shall not claim any Fee for the remainder of the Commitment Period.

3.6. If the Administrator acts without or in excess of authority of representation, he/she shall be personally liable – jointly and severally with the User/Subscriber – for the obligations arising from the Agreement and for any damage resulting therefrom.

4. Subject matter and content of the Service

4.1. Under the Agreement, the Service Provider provides the Authorised Users of the User/Subscriber with access to the Software in the form of software-as-a-service: free of charge and for an indefinite period in the case of the Freemium Plan, and for the duration of the Commitment Period in return for the Fee in the case of a paid Plan. The Software is accessible via a web browser without installation; the Service does not include the delivery of the software or any copy thereof, and the Service Provider reserves the right to suspend or discontinue the Freemium Plan service. The Software interface is available in Hungarian and English.

4.2. Depending on the Plan and the modules enabled for the organisation, the following modules and functions in particular are available in the Software:

  • team analysis and analysis of own team;
  • opposition analysis;
  • player scouting, including watch lists and search for similar players;
  • player analysis and profiling, team profiles;
  • heat maps, passing networks, expected threat (xT) maps and other visualisations;
  • individual analysis performed by the Authorised User (within the monthly quota specified in the Plan);
  • Café, artificial intelligence-based assistant (for paid Plans);
  • export of analyses and player and team profiles in PDF format (subject to the restrictions set out in Sections 10 and 12).

4.3. The number of user seats and Competition Slots, the monthly individual analysis quota and the modules available in each Plan are set out in the Price List. Certain modules (e.g. Scouting) are available at organisational level, subject to separate enablement. The Subscriber fills its Competition Slots in the Software web application during the registration or purchase process, or later in the Settings submenu accessible to the Administrator ([Settings → Competitions]). Competitions already selected may be changed upon expiry of the Commitment Period. New modules added to the Software as developments during the Commitment Period shall become available as part of the Plan, except for modules expressly announced by the Service Provider as regional (in particular those developed for the African and Arab regions) or as subject to a separate fee.

4.4. Free (Freemium) Plan. The Freemium Plan may be used for an indefinite period without providing a bank card and without any obligation to pay a fee, with 1 (one) user seat and access to the data of 1 (one) competition (the current season of the Premier League), with the functions specified in the Price List, provided that the Service Provider reserves the right to suspend or discontinue the Freemium Plan service. The Service Provider is entitled to modify the content and quotas of the Freemium Plan and the competition available in it in accordance with Section 20, or to discontinue the provision of the Freemium Plan in accordance with Section 18.3. The User may switch to a paid Plan at any time in the User Account; in that case, the provisions of Sections 6–8 shall also apply.

4.5. Café (artificial intelligence assistant). The Plans include a 3-day free trial access to Café, after which Café may be used exclusively with paid Plans, in accordance with the Price List. The User/Subscriber acknowledges that the responses provided by Café are generated by artificial intelligence; they may be incomplete, inaccurate or incorrect, and the Authorised User is therefore obliged to verify them before making any professional decision. The Authorised User may not enter into Café any special categories of personal data, trade secrets of third parties, or personal data not necessary for the performance of the task. Content produced by Café qualifies as Analysis Output. The User/Subscriber may request trial access to Café or a Subscription thereto only upon its express separate choice and consent, which includes express consent to the questions and requests entered by the User/Authorised User on the Café interface being recorded in connection with the given User/Authorised User, in order to improve the user experience.

4.6. The paid Service further includes (i) access to tutorial videos supporting the use of the Software and (ii) user support in accordance with Section 9. In the case of the Freemium Plan, the Service Provider provides support according to available capacity, without committing to the deadline set out in Section 9.2.

4.7. The Service does not cover (i) data provision beyond access to the Software (in particular the export of Source Data or Raw Data, or API access), (ii) consultancy tasks, (iii) the fulfilment of custom functions, analyses or individual data requests, or (iv) the provision of Video. Additional Services and the Enterprise Plan may be used on the basis of the Price List or an individual offer and order; unless otherwise agreed, the provisions of these GTC shall apply to them.

4.8. The Service Provider is entitled to continuously develop the Software, modify its functions and change its user interface, provided that it does not adversely reduce the essential functionality of the subscribed Plan during the Commitment Period.

4.9. Use of the Service requires an adequate internet connection and a supported, up-to-date web browser as specified on the Website, the provision of which is the responsibility and at the cost of the User/Subscriber.

5. Registration, User Account, named access

5.1. Registration is possible exclusively on the Website (on the registration interface of app.cubefootball.com), exclusively with an e-mail address, in the following steps:

a) the Administrator enters his/her e-mail address (preferably a personal work e-mail address belonging to the official domain of the User/Subscriber) and selects the interface language;

b) a one-time verification code is sent to the e-mail address provided via Microsoft's service referred to in Section 5.2, valid for 10 minutes from sending; the e-mail address is verified by entering the code;

c) the Administrator sets a password meeting the displayed security requirements;

d) the Administrator enters his/her profile data (name, e-mail address, (optionally: position, mobile number, favourite team from the competition selected by the organisation) and the data of the User/Subscriber referred to in Section 5.2, accepts the GTC (including, separately, the terms deviating from customary practice under Section 19), and declares that he/she has read the Privacy Notice.

5.2. Login authentication (e-mail address, password, verification code) is performed on behalf of the Service Provider by the Microsoft Azure AD B2C authentication service; the password is handled exclusively by Microsoft and is not known to the Service Provider. Registration with social media accounts (Google, Facebook, Apple, etc.) is not available.

5.3. Organisational and billing data to be provided during registration or at the latest when ordering a paid Plan: the Subscriber's billing name, subscriber type (Section 3.1), registered office (country, address), tax number (and a declaration as to whether the tax number provided is an EU VAT number), billing e-mail address and the selected payment method.

5.4. Correction of data entry errors (Section 6:83 of the Civil Code): before finalising the registration and the order, the Website displays a summary page on which the Administrator can check the data entered and correct any field using the “Back” function or by clicking on the labels of earlier process steps. After finalisation, the data can be modified in the Administrator Account (profile or billing settings) or by e-mail sent to the Service Provider.

5.5. The Agreement for the Freemium Plan is concluded upon completion of the registration in accordance with Section 5.1 and its electronic confirmation by the Service Provider. The Subscription for a paid Plan is concluded upon placing an order and successful payment in accordance with Section 7.

5.6. Named access. Each Plan includes a specified number of named accesses. Each Authorised User receives a unique User ID, which is linked exclusively to one specified natural person. The Administrator may invite further Authorised Users in the Settings → Team submenu of his/her account by entering the Authorised User's e-mail address, and manages their roles and access. Invited Authorised Users complete the steps under Section 5.1 a)–c) themselves and accept the provisions of the GTC applicable to them, in particular Sections 10–12.

5.7. It is prohibited (i) to share or transfer the User ID, the password or the access with another person, (ii) for a User ID to be used by more than one person, (iii) to assign a User ID to an e-mail address managed by several persons or to a group or functional e-mail address (e.g. info@, office@), (iv) to maintain more than 1 session (login) simultaneously with one User ID, and (v) to access the Software in any way other than with the access credentials expressly assigned to the Authorised User. The Service Provider is entitled to apply technical measures to monitor lawful use (in particular session and device restrictions, login and usage logs, and IP address checks), as set out in the Privacy Notice.

5.8. The Administrator may transfer a named access to another natural person in justified cases (in particular upon termination of the Authorised User's employment or other legal relationship); access may be transferred no more than once, subject to the prior written consent of the Service Provider. Additional user seats may be purchased as an Additional Service.

5.9. The User/Subscriber is responsible for ensuring that Authorised Users keep their passwords confidential and do not disclose them to third parties. The User/Subscriber shall notify the Service Provider without delay if the access credentials have come to the knowledge of an unauthorised person or if it detects unauthorised use. Until receipt of the notification, the User/Subscriber shall be liable for all activities performed with the User IDs.

5.10. The Service Provider is entitled, for security reasons, to request a password change, to temporarily restrict access, or to introduce an additional authentication factor (e.g. two-factor authentication).

6. Plans and fees

6.1. The Plans, the Additional Services, their content and Fees are set out in the Price List published on the Website (Annex 1). For a paid Plan, the Subscriber may choose a Commitment Period of 3 months or 12 months; the monthly Fee is discounted for the 12-month Commitment Period. The Fee for the Enterprise Plan is determined by the Service Provider in an individual offer.

6.2. The Fees are net amounts specified in EUR in the Price List; the exact amount payable (including the applicable value added tax) is displayed on the payment page prior to payment. Value added tax shall be charged on the basis of the Subscriber's billing country and tax number, in accordance with the laws in force from time to time; if the Subscriber is a taxable person registered in another Member State of the European Union with a valid EU VAT number, or a taxable person resident in a country outside the European Union, the invoice shall be issued without VAT, whereas 27% VAT shall be charged to taxable persons in Hungary. The Subscriber is responsible for the validity of the tax number provided and for the EU VAT number having been issued in another Member State. Currency conversion or other charges levied by the card-issuing bank shall be borne by the Subscriber.

6.3. The Fees are net amounts. If any state or authority imposes withholding tax, customs duty, levy or other public charge (hereinafter: Public Charge) on the Service or the Fee, this shall not reduce the net Fee due to the Service Provider. The Subscriber shall pay the Public Charge directly itself – to the extent permitted by law – (except in the case of Hungarian entities, where VAT is charged directly by the Service Provider and shown on the invoice); if the Service Provider is obliged to pay the Public Charge, the Subscriber shall reimburse the amount paid within 5 Business Days of receipt of the Service Provider's evidence thereof, and, in the event of deduction of withholding tax, shall gross up the Fee so that the full net Fee is received by the Service Provider.

6.4. The Fee valid at the time of the order shall remain unchanged for the given Commitment Period. The Service Provider is entitled to modify the Fees; it shall notify the Subscriber of the modification by e-mail at least 10 days before the start of the next Commitment Period. The modified Fee shall apply from the first Commitment Period beginning after the modification takes effect. If the Subscriber does not accept the modified Fee, it may cancel the automatic renewal in accordance with Section 8.4.

6.5. The Service Provider is entitled to announce periodic discounts, coupon codes and trial periods, the conditions of which are set out in the announcement. Unless otherwise provided, discounts may not be combined.

7. Ordering, payment, conclusion of the Agreement

7.1. Technical steps of concluding the contract (Section 6:82(1)(a) of the Civil Code): (i) logging in to the User Account; (ii) selecting the Plan and the Commitment Period (3 or 12 months); (iii) entering or checking the organisational and billing data (Section 5.3); (iv) and selecting the desired Additional Services (additional user seat, Competition Slot, etc.); (v) checking and, if necessary, correcting the order summary (Plan, Additional Services, monthly Fee, VAT, Commitment Period, total amount payable for the entire period, the fact of automatic renewal, use of a coupon code); (vi) entering the bank card details and accepting the GTC and the terms under Section 19; (vii) clicking the “Order with obligation to pay” button; (viii) entering the bank card details on the secure payment interface of the Payment Service Provider and approving the payment (with 3-D Secure authentication if necessary); and, following successful payment, (ix) selecting the league.

7.2. The Fee may be paid exclusively by bank card, via the payment system of the Payment Service Provider (Revolut), using the card types accepted by the Payment Service Provider: Visa, Mastercard. Bank transfer, cash or other payment methods are not available.

7.3. The bank card details (card number, expiry date, CVC, cardholder name) as well as the billing e-mail address and address entered by the Subscriber on the Service Provider's website are transmitted directly to the secure (PCI DSS compliant) interface of the Payment Service Provider; they are not stored or processed by the Service Provider. The Service Provider transmits to the Payment Service Provider only the order data (amount, currency, products, internal order ID), the Subscriber's e-mail address and billing address, and the browser data required for 3-D Secure authentication, and receives from the Payment Service Provider only the payment status, the reason for refusal in the event of refusal, and the card brand, last four digits and expiry date. The bank card is saved by the Payment Service Provider for recurring charges; the saved card can be removed or replaced in the User Account settings (Section 8.5). The payment transaction is also governed by the terms of the Payment Service Provider https://www.revolut.com/en-HU/legal/business-acquiring/.

7.4. Conclusion of the Agreement (Section 6:84 of the Civil Code): the Service Provider shall confirm receipt of the order and successful payment electronically, without delay, but no later than within 48 hours, to the Administrator's e-mail address. The Agreement is concluded when the Payment Service Provider has confirmed the payment as successful and the Service Provider's confirmation e-mail has become accessible to the Subscriber. In the event of unsuccessful payment, no Agreement (Subscription) is concluded; the Agreement for the Freemium Plan shall nevertheless remain in force.

7.5. The Service Provider shall activate access under the paid Plan without delay after the conclusion of the Agreement, but no later than on the following Business Day. The Commitment Period and the first Billing Period begin on the day of activation.

7.6. The Agreement is concluded electronically in the language selected on the Website (Hungarian or English) (Section 6:82(1)(d) of the Civil Code). The Agreement qualifies as a contract concluded in writing (Section 6:7(3) of the Civil Code); the Service Provider records it electronically, and the order data and the GTC in force at the time of the order remain accessible to the Subscriber later in the User Account and in the confirmation e-mail (Section 6:82(1)(b) of the Civil Code). The Service Provider is not subject to any code of conduct (Section 6:82(1)(e) of the Civil Code).

7.7. The Service Provider issues an electronic invoice for the Fee via the system of the Invoicing Service Provider (Billingo), which it sends to the billing e-mail address provided and makes available in the User Account in the form of a link directing to the relevant Billingo.hu page. By accepting these GTC, the Subscriber consents to the use of electronic invoices.

8. Commitment Period, monthly payment, renewal, cancellation

8.1. The Subscription for a paid Plan is concluded for a fixed-term Commitment Period of 3 or 12 months selected by the Subscriber. The Fee is due for the entire duration of the Commitment Period, and the Subscriber pays it monthly in advance on the first day of each Billing Period; the monthly Fee is automatically charged by the Payment Service Provider to the saved bank card.

8.2. Automatic renewal. Unless cancelled, the Subscription is automatically renewed at the end of the Commitment Period for a further Commitment Period of the same length, at the Fee set out in the Price List in force at the time of renewal. Upon the first payment, the Subscriber expressly authorises the Payment Service Provider to save the bank card details and to make recurring, Service Provider-initiated monthly charges for the duration of the Commitment Period and the renewed Commitment Periods.

8.3. The Service Provider shall send the Administrator an e-mail reminder about the renewal and the amount of the monthly Fee at least 30 days before the renewal of a 12-month Commitment Period (at least 14 days in the case of a 3-month Commitment Period).

8.4. Cancellation. The Subscriber may cancel the Subscription at any time on the Subscription page of the Software web application under Settings → Subscription, or by a statement sent to the Service Provider's customer support e-mail address. As a result of the cancellation, the Subscription will not be renewed at the end of the current Commitment Period. The monthly Fees for the remainder of the Commitment Period remain due even in the event of cancellation, and the Payment Service Provider will continue to charge them monthly to the saved bank card; access shall remain unchanged until the end of the Commitment Period. To avoid renewal, the cancellation must be made no later than the day preceding the last day of the Commitment Period. Following termination of the Subscription, the User Account shall – unless otherwise declared – continue under the Freemium Plan.

8.5. The Subscriber shall maintain a valid, chargeable bank card during the Commitment Period and update its details in the Administrator Account (on the interface of the Payment Service Provider) in the event of any change. Removal of the saved card does not affect the obligation to pay the Fee.

8.6. Unsuccessful charge. If the monthly charge is unsuccessful, the Payment Service Provider may repeatedly attempt the charge on a daily basis, and the Service Provider shall notify the Administrator thereof by e-mail. If the Fee is not paid within a grace period of 7 days from the due date, the Service Provider may terminate the Agreement with immediate effect and block the accounts of the Subscriber and the Authorised Users, and the Fees for the remainder of the Commitment Period shall become due in a single amount. In the event of late payment, the Subscriber shall pay default interest pursuant to Section 6:155 of the Civil Code and a flat-rate recovery cost compensation equivalent to EUR 40 pursuant to Act IX of 2016 on flat-rate recovery cost compensation.

8.7. Change of Plan. An upgrade to a higher Plan, or the purchase of additional user seats, Competition Slots or other Additional Services, may be initiated at any time; the modified quotas and the modified monthly Fee take effect from the date of the next monthly charge, and the Subscriber receives the invoice for the pro rata monthly fee attributable to the Additional Service in accordance with the general rules. During the Commitment Period, it is not possible to switch to a lower Plan or to reduce the number of user seats or Competition Slots (downgrade); this may take place at the end of the Commitment Period, with effect from the renewal. In the event of a downgrade, modules and competitions not included in the new Plan, and saved content related to them, may become inaccessible.

8.8. Refunds. The Fee paid shall not be refunded – also in view of the fact that the Service is available exclusively to professional stakeholders – including in the event of cancellation during the Commitment Period or failure to use the Service. Exceptions apply if the Agreement terminates (i) by termination by the Subscriber under Section 18.5 due to a serious breach of contract by the Service Provider, (ii) by ordinary termination by the Service Provider under Section 18.3, (iii) in the case referred to in the second sentence of Section 3.5, (iv) by termination under Section 20.3, or (v) for the reason specified in Section 10.12: in these cases, the Subscriber is not obliged to pay any Fee for the period following termination, and the Service Provider shall refund pro rata the Fee paid in advance for the unused period. Refunds may only be initiated by an employee of the Service Provider, via the Payment Service Provider, to the bank card originally used; in the case of a partial refund, a corrective invoice is issued, and in the case of a full refund, a cancellation invoice is issued.

8.9. An unfounded chargeback initiated by the Subscriber constitutes a breach of contract; in such a case, the Service Provider is entitled to suspend access and to pass on to the Subscriber its costs related to the chargeback.

9. Service level and support

9.1. The Service Provider is responsible for the IT operation of the Software web application. The Service Provider undertakes to upload the Source Data to the Software database within 24 hours of their upload and making available by Hudl. If the data upload is delayed for reasons beyond the Service Provider's control (in particular due to the unavailability, inaccuracy or unforeseeable structural change of the Source Data), the Service Provider shall identify and analyse the problem, prepare a remediation plan and inform the Users/Subscribers thereof without undue delay; it shall upload the Source Data within 24 hours of their becoming available.

9.2. The Service Provider receives error reports and user queries at the support@cubefootball.com e-mail address. Support is available on Business Days between 9:00 and 17:00 (CET, i.e. Central European Time). In the case of a paid Plan, the Service Provider undertakes to process the report by 17:00 on the Business Day following receipt at the latest, to prepare a remediation plan and to begin its implementation with the involvement of the necessary contributors. Additional support hours may be purchased as an Additional Service.

9.3. The User/Subscriber acknowledges that the Software performs a reporting and analytical function that does not directly affect its day-to-day core activities; therefore, the Service Provider does not provide a 24/7 customer service infrastructure or on-call staff for the support of the Software.

9.4. For paid Plans, the Service Provider undertakes an annual availability of the Software of at least 99%, i.e. the total duration of unplanned outages may not exceed 1% per calendar year. An unplanned outage occurs if any module of the Software is unavailable for unplanned technical reasons. The following do not qualify as outages: (i) planned maintenance announced at least 48 hours in advance and performed outside business hours where possible, (ii) where the Software is technically available and can be used as intended, but the data of the most recent matches have not yet been uploaded due to an error in or delay of the Source Data, (iii) faults arising from the Subscriber's IT environment or internet connection, (iv) suspension under Section 10.12, and (v) force majeure (Section 16.8). In the case of the Freemium Plan, the Service Provider does not undertake any level of availability.

9.5. If availability in any calendar year falls below 99%, upon the Subscriber's written request the service period shall be extended by a period proportionate to the outage time exceeding 1%, but by at least 1 day. This provision does not affect the liability under Section 16 for intentional or grossly negligent breach of contract.

10. Source Data and compliance with the requirements of the big data provider

10.1. Legal status. The data displayed in the Software and the underlying data (raw data) of data visualisations originate in part from Source Data provided to the Service Provider by Hudl (HUDL B.V., Smalle Haven 151, 5211TK Den Bosch, the Netherlands) under the licence agreement. All rights (including intellectual property rights) in the Source Data and related technology belong to Hudl and its affiliates; the User/Subscriber acquires no rights in the Source Data, except for the limited right of use expressly granted in this Section 10. The Service Provider warrants that it holds the rights necessary to provide the Service.

10.2. Compliance with the Hudl Licence Agreement. The Parties record that the Software qualifies as a “Customer Product”, the Analysis Outputs as “Derivative Works”, the User/Subscriber (and its Authorised Users) as an “Authorized Third-Party” within the meaning of the Hudl Licence Agreement, and these GTC – in particular this Section 10 and Sections 11, 12 and 16.5–16.7 – as an agreement duly concluded between the Service Provider and the User/Subscriber in accordance with the Hudl Licence Agreement (“Authorized Agreement”), consistent with the written consent of HUDL B.V. By accepting the GTC – which the Service Provider records in accordance with Section 19.2 – the User/Subscriber expressly accepts these provisions and shall ensure that its Authorised Users comply with them.

10.3. Right of use of Analysis Outputs. The Service Provider grants the User/Subscriber a limited, non-exclusive, non-transferable and non-sublicensable right to use the Analysis Outputs, which may be exercised solely for the internal purposes of the User/Subscriber and solely through the access provided by the Software. The Service Provider makes the Analysis Outputs available exclusively for business use in the professional football industry (in particular for scouting, education, coaching, training materials and sports analysis).

10.4. Prohibition of onward transfer. Analysis Outputs may not be transmitted, sublicensed or otherwise made available to any third party, except to Authorised Users belonging to the same organisational structure as the User/Subscriber and subject to the conditions set out in this Section 10. Analysis Outputs exported in PDF format may be used solely within the organisation of the User/Subscriber for internal purposes; the only exception to this restriction is disclosure approved in advance in writing by the Service Provider in accordance with Section 12, to the extent permitted by the Hudl Licence Agreement.

10.5. Prohibited conduct regarding Source Data. Outside the scope expressly permitted in Sections 10.3–10.4, the User/Subscriber and the Authorised User are not entitled, either directly or indirectly, to:

a) copy, modify, reproduce, republish, display, transmit or distribute the Source Data or any part thereof in any form, on any medium or by any means, or attempt to do any of the foregoing;

b) train or develop machine learning or artificial intelligence models, algorithms or similar technology using the Source Data or the Analysis Outputs;

c) rent, lend, sell, sublicense, assign, distribute, display, disclose or otherwise commercially exploit or make available the Software, the Source Data or the Analysis Outputs to any third party, including making them available via the internet, time-sharing, service bureau, software-as-a-service, cloud or other technology services;

d) circumvent or breach the security tools or protection of the Software or of Hudl's systems, or access the Platform in any way other than with the access credentials assigned to the Authorised User;

e) upload, transmit or activate unlawful or harmful information, material or malicious code on the Software;

f) damage, destroy, disrupt, disable, impede or in any way impair the Software, the systems of the Service Provider or Hudl, or the services provided by Hudl to third parties;

g) remove, delete, alter or obscure any trademark, disclaimer, copyright, industrial property or other proprietary notice displayed on the Source Data, the Analysis Outputs or other materials of the Service Provider or Hudl;

h) use the Software, the Source Data or the Analysis Outputs in a manner or for a purpose that infringes the intellectual property rights or other rights of any third party or violates the law;

i) use download accelerator or download manager software, or otherwise abuse the access in a manner that burdens or damages the systems of the Service Provider or Hudl;

j) broadcast, resell, publish, redistribute or make public the Source Data, or make it available to anyone other than the User/Subscriber;

k) use the Source Data for purposes other than the internal business purposes of the User/Subscriber;

l) copy, reproduce or resell the Raw Data in its original or substantially unchanged form (except for Objective Data); the Parties record that merely changing the format of the Raw Data or the Source Data does not result in an Analysis Output and constitutes a breach of this point;

m) use logos constituting trademarks of clubs, leagues or competitions, or photographs of players, in any manner other than for the personal or internal organisational use of the User/Subscriber, or disclose or make them accessible to unauthorised persons;

n) make Video or any part thereof available to any third party in any manner.

10.6. Publication of Raw Data is prohibited. Without prejudice to the generality of Section 10.5, it is strictly prohibited to use, publish, post or share with any third party in a public document the Raw Data – including in particular the raw data of clubs, teams, matches and players, club and team brands, logos and photographs of players.

10.7. Source Data provided “as is”. The Source Data is provided by Hudl to the Service Provider “as is”, and accordingly the Service Provider gives no warranty for the Analysis Outputs based thereon. The accuracy, completeness and timeliness of the Source Data depend on Hudl; the Service Provider does not warrant that the Source Data is free from errors and – except as provided in Section 16.4 – shall not be liable for damage resulting from errors or deficiencies in the Source Data. The Service Provider shall correct processing errors that come to its knowledge within a reasonable time. The User/Subscriber is solely responsible for the results achieved through the use of the Software, the Source Data and the Analysis Outputs and for the conclusions drawn therefrom.

10.8. Monitoring and cooperation. The Service Provider is entitled and obliged to monitor the use of the Source Data and the Analysis Outputs by the User/Subscriber and to ensure compliance with these GTC. To this end, the User/Subscriber shall cooperate with the Service Provider, provide information on the use of the Source Data and the Analysis Outputs within 8 days of the Service Provider's request, and acknowledges that Hudl and its affiliates may access the Software under the Hudl Licence Agreement for the purpose of verifying the lawful use of the Source Data.

10.9. Notification and reporting to Hudl. The User/Subscriber shall notify the Service Provider in writing without delay of any suspected or established breach of this Section 10 by it, its Authorised User or any third party. The User/Subscriber acknowledges and – as a release from the confidentiality obligation under Section 14 – consents to the Service Provider (i) notifying Hudl of any breach of this Section 10, naming the User/Subscriber, and (ii) reporting to Hudl at least twice a year, and within 14 days upon Hudl's request, the name of the User/Subscriber and the dates on which access to the Analysis Outputs commenced and ended.

10.10. Deletion obligation. The User/Subscriber shall immediately cease using and delete the Source Data and Analysis Outputs originating from the Software (including exported PDF documents and copies thereof) (i) upon the Service Provider's written request to that effect (in particular if requested by Hudl), and (ii) upon termination of the Agreement for any reason. The User/Subscriber shall confirm the deletion in writing at the Service Provider's request.

10.11. Export and sanctions rules, anti-corruption. The User/Subscriber warrants that neither it nor its owners or executive officers are subject to sanctions imposed by the European Union, the United Nations, the United Kingdom or the United States of America, and that it will not make the Software available in a sanctioned country, to a sanctioned person or for a prohibited end use; furthermore, it complies with applicable export and import control laws and anti-bribery and anti-corruption laws.

10.12. Restriction or termination of the Hudl Licence Agreement. If Hudl restricts or suspends the Service Provider's access to the Source Data – in whole or in part, temporarily or permanently – or the Hudl Licence Agreement terminates for any reason, or if Hudl no longer provides the data of a particular competition, the Service Provider is entitled to restrict or suspend the Service to the extent affected, or to replace the affected competition with a competition of similar value; if this is not possible, the Service Provider is entitled to terminate the Agreement with immediate effect. In such a case, the Service Provider shall – except in the event of breach of contract by the User/Subscriber – refund or credit pro rata the Fee paid in advance for the unused period; beyond this, the Service Provider's liability is excluded, except in the cases set out in Section 16.4.

10.13. Serious breach of contract. Breach of the obligations set out in Sections 10.3–10.6 and 10.10 constitutes an irremediable, serious breach of contract entitling the Service Provider to terminate the Agreement with immediate effect in accordance with Section 18.4. In such a case, the Fees for the remainder of the Commitment Period become due in a single amount, and the Fee paid shall not be refunded.

10.14. Direct enforcement of Hudl's rights. The Parties stipulate that Hudl and its affiliates may also directly enforce against the User/Subscriber their rights in the Source Data and their claims arising from this Section 10 (Section 6:136 of the Civil Code).

11. Intellectual property in the Software, prohibited use

11.1. The Software, its underlying software (including source code and object code), algorithms, metrics, database, user interface, documentation, tutorial videos, and the CUBE name and logo constitute the intellectual property of the Service Provider (or its legal predecessor or licensor) and are protected by Act LXXVI of 1999 on Copyright (hereinafter: Copyright Act), as well as by industrial property laws. The Service Provider warrants that all transferable economic rights and rights of use in the CUBE software belong to it exclusively and in full.

11.2. For the term of the Agreement, the Service Provider grants the User/Subscriber a non-exclusive, non-transferable and non-sublicensable right to use the Software, solely for the internal professional purposes of the User/Subscriber, solely by the Authorised Users and within the limits of the Plan. The right of use terminates upon termination of the Agreement.

11.3. With respect to the Software, the User/Subscriber and the Authorised User – in addition to the provisions of Section 10.5 – are not entitled to:

a) reverse engineer, decompile or disassemble the Software, its software or any part thereof, or in any way discover, reconstruct or attempt to discover the source code, the algorithms, the calculation method of the metrics, or the structure or content of the database, unless mandatorily permitted by Sections 59–60 of the Copyright Act;

b) copy, reproduce, imitate, adapt or modify the Software, its user interface, functions, content or any part thereof, or create derivative works therefrom;

c) extract data from the Software using automated tools (robot, scraper, crawler, script), download it in bulk, access the Platform via an undocumented interface, or copy or re-utilise the database of the Software or a substantial part thereof (Section 84/A of the Copyright Act);

d) use the Software or its content to develop a competing product or service, or to publish comparative tests;

e) use the content of the Software for training artificial intelligence models or for text and data mining; the Service Provider expressly reserves its rights in respect of such uses in accordance with Article 4(3) of Directive (EU) 2019/790 and the relevant provisions of the Copyright Act;

f) circumvent the security, access control or technical protection measures of the Software, map or exploit its vulnerabilities, or disrupt or overload the operation of the Software;

g) use the Software, the Analysis Outputs or Café to circumvent the limits and restrictions of the Software, with queries aimed at uncovering the Source Data or the functioning of the Software (prompt injection), or in any other abusive manner;

h) use the Software or the Analysis Outputs for sports betting or gambling activities, or make them available to such providers;

i) use the Software or its content in any other manner not expressly permitted in these GTC, or otherwise abuse the Service.

11.4. The Service Provider may use suggestions and feedback provided by the User/Subscriber regarding the development of the Software free of charge and without restriction.

11.5. Breach of the prohibitions set out in Section 11.3 constitutes a serious breach of contract entitling the Service Provider to terminate the Agreement with immediate effect in accordance with Section 18.4 and to claim compensation for its full damage; depending on the nature of the infringing conduct, the Service Provider may also take civil or criminal law action.

12. Public display of Analysis Outputs

12.1. In accordance with Sections 10.3–10.4, Analysis Outputs may be used solely within the organisation of the User/Subscriber for internal purposes. Public disclosure (blog post, article, social media post, programme or other public communication) of any part of the Analysis Outputs not qualifying as Raw Data, or sharing it with a third party outside the organisation, may take place only with the Service Provider's case-by-case prior written consent (given by e-mail), within the limits set out in such consent and in the Hudl Licence Agreement.

12.2. In the event of permitted public disclosure under Section 12.1, the User/Subscriber shall clearly display the CUBE logo or indicate the source with the attribution “Source: CUBE Football Analytics (cubefootball.com)” or by referencing the social media channel of CUBE Football Analytics, and shall preserve the proprietary notices appearing on the Analysis Outputs.

12.3. In its disclosures under Section 12.1, the User/Subscriber shall fully comply with the rules (in particular the ethical standards) of the operator of the media or social platform used, as well as the laws applicable to it – in the case of a media service provider, in particular Act CIV of 2010 on the freedom of the press and the fundamental rules of media content.

12.4. The User/Subscriber may not use the Software, the Analysis Outputs, or the CUBE / CUBE Football name or logo in a false, misleading or distorting manner, or in any communication that unlawfully harms or jeopardises the reputation or business standing of the Service Provider or the CUBE Software.

12.5. The User/Subscriber is solely responsible for the content published by it; if any third party (including Hudl) asserts a claim against the Service Provider in connection with such content, the User/Subscriber shall indemnify the Service Provider and compensate it for its damage.

13. Further obligations of the User/Subscriber

13.1. The User/Subscriber shall:

  • use the Service as intended, in accordance with the law and the provisions of the GTC, and ensure that its Authorised Users do the same, including by informing the Authorised Users of the obligations set out in Sections 10–12;
  • prevent unauthorised access to or use of the Software and the Source Data by commercially reasonable measures, and notify the Service Provider thereof without delay;
  • record any change in its registration and billing data in the User Account in good time, but at least within 8 days prior to the next invoicing;
  • notify the Service Provider without delay, but no later than within 8 days, if its eligibility under Section 3.1 (its status as a professional football stakeholder) ceases;
  • cooperate with the Service Provider for the purpose of remedying faults and the monitoring under Section 10.8.

13.2. The User/Subscriber is liable for the conduct of its Authorised Users as for its own.

14. Confidentiality

14.1. The Parties shall treat as trade secrets all documents, data, facts, analyses, know-how or other information concerning the other Party or its activities that come to their knowledge in connection with the Agreement (hereinafter: Confidential Information), including the non-public operating characteristics of the Software.

14.2. The Parties undertake not to disclose Confidential Information to unauthorised third parties, not to make it public without the prior written consent of the other Party, and to use it solely in connection with the performance of the Agreement, both during the term of the Agreement and thereafter. The Parties shall ensure that their employees and subcontractors also comply with this obligation, and shall inform the other Party without delay upon becoming aware of any unauthorised use.

14.3. Information that is publicly known without breach of the confidentiality obligation, or the disclosure of which is required by law or by an official decision, does not qualify as Confidential Information. The provision of data by the Service Provider to Hudl in accordance with Sections 10.8–10.9 does not breach the confidentiality obligation.

15. Data protection

15.1. The Service Provider processes the personal data of the Administrator and the Authorised Users in accordance with the General Data Protection Regulation of the European Union (GDPR), Act CXII of 2011 on the right to informational self-determination and on freedom of information, and the Privacy Notice published on the Website (Annex 2).

15.2. The User/Subscriber is responsible for ensuring that the transfer of the personal data of the Authorised Users to the Service Provider is lawful and that the Authorised Users become acquainted with the Privacy Notice.

15.3. The Source Data displayed in the Software may also contain personal data of football players, which the Service Provider lawfully obtains from Hudl. If the User/Subscriber uses personal data relating to players originating from the Software for its own purposes, it qualifies as an independent controller in this respect and shall comply with the provisions of the GDPR (in particular the principles of purpose limitation and data minimisation).

15.4. Data related to card payments are processed by the Payment Service Provider as an independent controller in accordance with its own privacy notice.

16. Liability

16.1. The data, Analysis Outputs and Café responses displayed in the Software are for information purposes only and do not constitute legal, investment, business, sports or other professional advice. The User/Subscriber is solely responsible for decisions made on the basis thereof (in particular decisions on signings, contracts and sporting matters) and for their consequences.

16.2. The Service Provider shall not be liable for indirect and consequential damages, loss of profit, loss of revenue, loss of business opportunity, damage to reputation, or – beyond the customary backups performed by the Service Provider – loss of data.

16.3. The total amount of the Service Provider's liability for damages arising from or in connection with the Agreement – irrespective of the legal basis – shall not exceed the total amount of the Fees actually paid by the Subscriber to the Service Provider in the 12 months preceding the event giving rise to the damage. In view of the free nature of the Freemium Plan, the Service Provider assumes no liability for damages towards the User in connection with the Freemium Plan, except as set out in Section 16.4.

16.4. The limitations under Sections 10.7, 10.12, 16.2 and 16.3 shall not apply to liability for breach of contract caused intentionally or by gross negligence, or for breach of contract causing damage to human life, physical integrity or health (Section 6:152 of the Civil Code), nor to cases in which liability cannot be limited by law.

16.5. Liability of the User/Subscriber. The User/Subscriber shall be fully and without limitation liable towards the Service Provider for all damage arising from the breach of the obligations set out in Sections 10, 11, 12 and 14 – whether by itself, its Authorised User or any third party to whom the User/Subscriber has granted access to the Software, the Source Data or the Analysis Outputs. Such damage includes in particular any amounts (damages, penalties, fees, attorneys' and procedural costs) that the Service Provider is obliged to pay to Hudl under the Hudl Licence Agreement in connection with such breach, as well as damage resulting from the suspension or termination of the Hudl Licence Agreement.

16.6. Indemnification obligation. The User/Subscriber shall – to the extent permitted by law – defend and indemnify the Service Provider, Hudl and their affiliates, executive officers, employees and agents against any claim, demand, lawsuit or proceeding asserted by any third party, and against any damage, attorneys' fees and costs finally awarded or agreed in a settlement resulting therefrom, based on the User/Subscriber or its Authorised User having distributed or used the Source Data or the Analysis Outputs beyond the business use in the professional football industry permitted in these GTC, thereby infringing the intellectual property rights or other rights of a third party, or having otherwise unlawfully used, disclosed or made them known to an unauthorised third party.

16.7. The Authorised User shall also be personally liable – jointly and severally with the User/Subscriber – for intentional or grossly negligent breach of the provisions of Sections 10–12 applicable to him/her, where permitted by the law governing his/her legal relationship.

16.8. Force majeure. Neither Party shall be liable for any failure or delay in the performance of the Agreement (except for payment obligations) if caused by circumstances beyond its control and unforeseeable at the time of conclusion of the contract (in particular natural disaster, epidemic, war, act of terrorism, strike, measure of public authority, sanction, embargo, large-scale power outage, failure of utility or internet services, a cyberattack that the Service Provider is unable to avert, or an event within Hudl's sphere of control that the Service Provider cannot avert). The affected Party shall inform the other Party without delay of the occurrence and expected duration of the force majeure event.

16.9. The Service Provider shall not be liable for any fault in the services of the Payment Service Provider, the internet service provider of the User/Subscriber or any other third party outside the Service Provider's sphere of interest. The Service Provider shall be liable for the subcontractors it engages (in particular the hosting provider) as if it had performed the activity itself.

17. Intellectual property indemnity

17.1. The Service Provider shall – subject to the limitations set out in Sections 17.2–17.5 and Section 16 – defend and indemnify the Subscriber and its executive officers, employees and agents against claims asserted by third parties alleging that the Software provided by the Service Provider and used in accordance with the GTC and the documentation infringes a third party's patent, copyright, trademark or trade secret right valid under the laws of the European Union, the United Kingdom or the United States of America (IP Claim), and shall compensate the direct damage finally awarded against the Subscriber or agreed in a settlement under Section 17.4, as well as reasonable and documented attorneys' fees. The Service Provider's indemnity obligation does not extend to the Freemium Plan or to free trial access.

17.2. The Service Provider shall not be subject to the obligation under Section 17.1 if the IP Claim arises from (i) a modification of the Software not made by the Service Provider, (ii) the combination of the Software with software, data or services not provided by the Service Provider, (iii) continued use by the Subscriber after notification of the infringement and the offer of a non-infringing version, (iv) use contrary to the GTC, or (v) content, data or instructions provided by the Subscriber.

17.3. In the event of an IP Claim, or if in the Service Provider's opinion such a claim is likely to occur, the Service Provider shall, at its own option and expense, (i) procure for the Subscriber the right to continue using the Software, (ii) modify the Software so that it becomes non-infringing without materially reducing its functionality, or (iii) if the foregoing are not economically reasonably feasible, discontinue the affected Service and refund pro rata the unused Fee paid in advance.

17.4. The Subscriber shall (i) notify the Service Provider of the IP Claim in writing without delay, (ii) allow the Service Provider to control the defence and settlement, and (iii) reasonably cooperate at the Service Provider's expense. The Service Provider may not, without the Subscriber's prior consent, enter into any settlement that admits the Subscriber's liability or imposes a payment obligation on it.

17.5. The Service Provider's liability under this Section 17 – except in the case of intentional or grossly negligent conduct or fraud – is limited to the amount specified in Section 16.3.

17.6. The User/Subscriber shall defend and indemnify the Service Provider and its executive officers, employees and agents against claims asserted by third parties, and against direct damages and costs resulting therefrom, arising from (i) data uploaded by the User/Subscriber to the Software web application or made available to the Service Provider (including prompts entered on the Cube Café interface), (ii) use of the Service contrary to the GTC or the law, or (iii) the disclosures of the User/Subscriber under Section 12; the provisions of Section 16.6 shall apply in addition.

18. Suspension and termination of the Agreement

18.1. Suspension. The Service Provider is entitled to temporarily suspend the access of the User/Subscriber or any Authorised User with prior notice – or, in urgent cases, in particular in the case of use endangering the security of the Software, the Source Data or the systems of the Service Provider or Hudl, with subsequent notice given without delay – if (i) the Subscriber is in default of payment of the Fee (Section 8.6), (ii) there is a well-founded suspicion of sharing of access credentials or unauthorised use, (iii) the User/Subscriber breaches Section 10, 11 or 12 or there is a well-founded suspicion thereof, (iv) the eligibility of the User/Subscriber (Section 3) becomes doubtful, (v) the security of the Software or of other Users/Subscribers so requires, or (vi) the case referred to in Section 10.12 applies. The suspension lasts until the cause ceases; the obligation to pay the Fee remains in force during the suspension, unless the suspension occurred for a reason outside the Subscriber's sphere of interest.

18.2. Ordinary termination by the User/Subscriber. The User may terminate the Agreement for the Freemium Plan at any time with immediate effect by deleting the User Account or by e-mail sent to the Service Provider. The Subscriber may terminate the Subscription with effect from the end of the Commitment Period by cancellation in accordance with Section 8.4; ordinary termination is not possible during the Commitment Period.

18.3. Ordinary termination by the Service Provider. The Service Provider may terminate the Agreement for the Freemium Plan, or the provision of the Freemium Plan, with 3 days' notice, without giving reasons. The Service Provider may terminate the paid Subscription with 30 days' notice, without giving reasons; in such a case, it shall not claim any Fee for the period following expiry of the notice period and shall refund pro rata the Fee paid in advance for the unused period.

18.4. Extraordinary termination by the Service Provider. The Service Provider may terminate the Agreement with immediate effect in writing (by e-mail) if the User/Subscriber commits a serious breach of contract, in particular if it

  • fails to pay the Fee within 7 days of the due date;
  • shares the User ID or access credentials, or a User ID is used by more than one person (Section 5.7);
  • breaches its obligations under Sections 10.3–10.6 or 10.10 (Section 10.13);
  • breaches any of the prohibitions set out in Section 11.3;
  • discloses Analysis Outputs without the consent under Section 12 or in excess of its limits, or makes a disclosure contrary to Section 12.4;
  • its declaration under Section 3.1 is false or its eligibility has ceased;
  • initiates an unfounded chargeback (Section 8.9);
  • the warranty set out in Section 10.11 proves to be untrue;
  • uses the Service for unlawful purposes.

The Service Provider may furthermore terminate the Agreement with immediate effect in the case referred to in Section 10.12. In the event of extraordinary termination due to a breach of contract by the User/Subscriber, the Fee paid shall not be refunded – with the exception set out in the second sentence of Section 3.5 –, the Fees for the remainder of the Commitment Period shall become due in a single amount, and the Service Provider shall be entitled to claim compensation for any damage exceeding this amount.

18.5. Extraordinary termination by the Subscriber. The Subscriber may terminate the Agreement with immediate effect if (i) the Service Provider fails to provide access within the Business Day following payment of the Fee and fails to remedy this within 5 Business Days of the Subscriber's written notice, or (ii) the Service Provider commits another serious breach of contract and fails to remedy it within 15 days of the Subscriber's written notice.

18.6. Consequences of termination. Upon termination of the Agreement, access to the Software ceases and the User/Subscriber shall fulfil its deletion obligation under Section 10.10. The deletion of personal data is governed by the Privacy Notice. The Service Provider draws the attention of the User/Subscriber to the fact that the deletion of the User Account or the termination of the Agreement does not result in the automatic deletion of personal data stored in connection with the User/Subscriber and the Authorised Users – in particular profile data, account activity data, previous subscription data and prompts entered on the Café interface. If the User/Subscriber requests, at the same time as deleting the account, the deletion of the data stored about it, it may initiate this – except for data that the Service Provider must retain due to a legal obligation or legitimate interest – by a request sent to the contact e-mail address specified in the Privacy Notice. Termination does not affect payment obligations that became due prior to termination, nor the provisions of Sections 10, 11, 12, 14, 16, 17 and 22, which shall remain in force after termination of the Agreement.

19. Terms deviating from customary practice

19.1. Pursuant to Section 6:78(2) of the Civil Code, the Service Provider specifically draws the attention of the User/Subscriber to the fact that the following provisions deviate from statutory provisions or from customary contractual practice: Section 1.6 (application of the GTC to the free Plan); Sections 3.2–3.6 (professional stakeholders only; verification of eligibility, rejection, exclusion of refunds); Sections 4.4–4.5 (modifiability of the Freemium Plan, limitations of Café); Sections 5.7–5.9 (access restrictions, liability of the User/Subscriber for User IDs); Sections 6.3–6.4 (Public Charges, fee modification); Sections 8.1–8.2 and 8.4 (fixed-term commitment, automatic renewal and recurring card charges, obligation to pay fees notwithstanding cancellation); Sections 8.6–8.7 (suspension, acceleration of payment in a single amount, exclusion of downgrade); Section 8.8 (exclusion of refunds); Sections 9.3–9.5 (limitations of availability, exclusive remedy); Section 10 (restrictions arising from the Hudl Licence Agreement, monitoring, reporting to Hudl, deletion obligation, exclusion of liability for Source Data, restriction and discontinuation of the Service in the event of restriction or termination of the Hudl Licence Agreement, direct enforcement of claims by Hudl); Sections 11.3 and 11.5 (prohibitions of use and their legal consequences); Section 12 (publication subject to prior approval, attribution of source); Section 16 (limitation of liability, unlimited liability and indemnification obligation of the User/Subscriber); Section 17 (limitations of intellectual property indemnity); Sections 18.1, 18.3 and 18.4 (suspension, termination); Section 20 (unilateral amendment); Section 21.3 (prevailing language version); Section 22.2 (exclusive jurisdiction and venue).

19.2. The User/Subscriber expressly accepts these terms during registration or ordering by ticking a checkbox. The Service Provider records and retains the fact and time of acceptance and the version number of the accepted GTC.

20. Amendment of the GTC

20.1. The Service Provider is entitled to amend the GTC unilaterally, in particular in the event of changes in legislation, official decisions, the development or restructuring of the Service, changes in the terms of the Hudl Licence Agreement, IT security reasons or business policy reasons.

20.2. The Service Provider shall notify the User/Subscriber of the amendment by e-mail and by publication on the Website at least 15 days before it takes effect. Amendments that do not adversely affect the rights or obligations of the User/Subscriber (in particular a more precise description of the Service or the introduction of new functions), as well as amendments resulting from changes to the Hudl Licence Agreement that the Service Provider cannot influence, take effect upon publication.

20.3. If the amendment is detrimental to the Subscriber and the Subscriber does not accept it, the Subscriber may, until the amendment takes effect, terminate the Agreement with effect from the date on which the amendment takes effect; in such a case, it is not obliged to pay any Fee for the period following the effective date, and the Service Provider shall refund pro rata the Fee paid in advance for the unused period. If the User/Subscriber does not terminate and continues to use the Service after the effective date, the amendment shall be deemed accepted. Fee modifications are governed by Section 6.4.

20.4. Previous versions of the GTC are available on the Website, accessible via this link.

21. Communication, language, miscellaneous provisions

21.1. The Parties communicate primarily by electronic means: the Service Provider by message sent to the Administrator's registered e-mail address or within the User Account (the Service Provider sends system notifications via the Microsoft Azure Communication Services service and invoices via the system of the Invoicing Service Provider); the User/Subscriber to the Service Provider's e-mail address specified in Section 1.2 or via the contact form on the Website. An e-mail shall be deemed delivered on the day of sending if sent by 17:00 on a Business Day, and otherwise on the following Business Day.

21.2. The User/Subscriber is responsible for ensuring that the Administrator's e-mail address and the billing e-mail address are up to date and functional; it shall record any change of e-mail address in the User Account without delay.

21.3. The GTC is available in Hungarian and English. The Agreement is concluded in the language selected by the User/Subscriber on the Website. In the event of any discrepancy between the two language versions, the Hungarian version shall prevail.

21.4. The Service Provider is entitled to display the Subscriber's name and logo as a reference on its own website, social media channels and business materials, unless the Subscriber objects to this by e-mail sent to the Service Provider. The Subscriber is entitled to indicate the fact of the cooperation, subject to the restrictions set out in Section 12.

21.5. The User/Subscriber may not assign its rights and obligations under the Agreement to any third party without the prior written consent of the Service Provider. The Service Provider is entitled to assign the Agreement to its affiliate or legal successor, of which it shall notify the User/Subscriber; by accepting these GTC, the User/Subscriber consents to this in advance.

21.6. If any provision of the GTC is invalid, unlawful or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the lawful provision that comes closest to the original economic purpose of the Parties.

21.7. Failure to exercise or delay in exercising any right shall not constitute a waiver thereof.

21.8. The Agreement (the GTC, the Price List and the order data) constitutes the entire agreement between the Parties and supersedes all prior oral or written agreements relating to its subject matter. In the case of an individual contract concluded in writing (in particular for the Enterprise Plan), its provisions shall prevail over the GTC, with the exception of Section 10, from which no deviation in favour of the User/Subscriber is permitted.

22. Governing law and disputes

22.1. The Agreement and the GTC are governed by Hungarian law, in particular the Civil Code and Act CVIII of 2001 on certain issues of electronic commerce services and information society services. The Parties exclude the application of the Vienna Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-law rules of private international law.

22.2. The Parties shall first attempt to settle disputes amicably through negotiation. If the negotiation does not lead to a result within 30 days of the written initiation thereof, the Parties stipulate – depending on subject-matter jurisdiction – the exclusive jurisdiction and venue of the Buda Central District Court or the Székesfehérvár Regional Court for the adjudication of disputes arising from or in connection with the Agreement.

22.3. Given that the Service is available exclusively to professional stakeholders, conciliation board proceedings for the settlement of consumer disputes and the online dispute resolution platform do not apply to the Agreement.
